Terms for buying and using the WyckFlow software add-ons for MotiveWave. Effective from 9 June 2026.
1. Introduction and seller identification
These terms and conditions (the “Terms”) govern the relationship between you as the buyer and the seller when you purchase the WyckFlow software add-ons via wyckflow.com. By purchasing, downloading, installing, activating a licence key or using WyckFlow you agree to these Terms.
Seller: Lukáš Veselý, Poutní 404/5j, 733 01 Karviná, Czech Republic. Company ID (IČ): 87386542. E-mail: info@wyckflow.com. A self-employed trader registered in the Czech Trade Register (with the trade-licensing office competent for the registered address).
If you are a consumer (you contract outside your business activity), mandatory consumer-protection rules also apply to you; nothing in these Terms removes or limits those rights. The contract is concluded in Czech (the site is also available in English and Spanish; in case of interpretative conflict the Czech version prevails).
2. Definitions
For the purposes of these Terms:
- WyckFlow / Studies – the paid and free software add-ons (studies / indicators) for order-flow and volume analysis that run inside the MotiveWave (Community Edition) desktop trading platform.
- MotiveWave platform – a separate third-party desktop application into which WyckFlow plugs; it is not our product.
- JAR – the downloadable file containing the Studies, placed into MotiveWave.
- Licence key (WYCK key) – the code you enter once in MotiveWave to unlock the Studies according to your purchased scope.
- Subscription – a paid right to use for a recurring billing period (monthly or yearly) with automatic renewal.
- Lifetime – a one-time paid right with no recurring payments and no automatic renewal.
- Account – the passwordless wyckflow.com account you sign in to via a link e-mailed to you (magic link).
- Order – your proposal to conclude the contract made in the cart / checkout.
3. Product description — analytical tools, NOT investment advice
WyckFlow is a set of analytical and visualization tools (studies / indicators) that display order-flow and volume data on the chart inside the MotiveWave platform — e.g. cumulative delta, footprint, volume profile, liquidity heatmap, VWAP and similar market views. They are intended to visualize and support your own decision-making.
WyckFlow is digital content not supplied on a tangible medium. It is delivered as a downloadable JAR file and a licence key.
Important: WyckFlow does not provide investment advice or investment recommendations, does not give trading signals or buy/sell instructions, and does not guarantee any outcome. The tools do not trade for you, do not place or execute orders, and do not manage your account. All trading decisions are made by you, at your own responsibility and risk (see Section 14).
Technical requirements and interoperability: WyckFlow runs only inside the MotiveWave desktop platform, which you must install separately, and requires a market-data connection (typically Level 2 / DOM data from a data provider or broker). The MotiveWave platform, the data feed and the broker are separate third parties that we neither provide nor control. WyckFlow cannot be used without a working platform and data.
4. Offering overview and licence scope
We offer:
- Free studies — Cumulative Volume Delta (CVD) and Bid/Ask Volume. They are free, require no payment and remain available even without a paid licence.
- Paid tiers (bundles) — Starter, Pro and Elite. Each higher tier includes the lower tier’s studies plus more. The current composition and prices are shown in the catalogue and on the pricing page.
- Individual à-la-carte studies — selected studies can be bought separately.
After payment you receive one licence key (WYCK key), which you enter once in MotiveWave to unlock the studies according to your purchased scope. The licence is personal, non-exclusive, non-transferable and non-sublicensable, for one user and that user’s own use. Unless a higher count is expressly purchased, the licence is for one user; a reasonable number of that same user’s own devices is fine. The key must not be shared, published, sold or transferred.
We reserve the right to change the offering, tier composition, prices and features over time; this does not affect contracts already concluded or running subscriptions.
5. User account
To purchase and manage licences you create an account on wyckflow.com. The account is passwordless — you sign in via a sign-in link (magic link) we e-mail you. You are responsible for keeping access to your e-mail and for the accuracy and currency of the data you provide. The account is personal; do not share your sign-in or licence key with anyone.
Processing of personal data in connection with the account is described in the privacy policy.
6. Order and conclusion of the contract
You create an order by adding studies or a bundle to the cart and completing it at checkout. Before completing it you can review and change the order contents, and the total price and these Terms are shown to you. Pressing the payment button at checkout places a binding order that obliges you to pay.
The contract is concluded upon payment. Immediately afterwards we send a confirmation of the contract, together with the licence key and these Terms, to the e-mail you provided (on a durable medium).
7. Prices and payment
Prices are shown for each study and bundle directly on the website, in CZK, USD or EUR depending on the currency you choose. The seller is not a VAT payer — the prices shown are final and no VAT is added.
A subscription is paid in advance for the chosen period (monthly or yearly); the one-time “lifetime” option is a single payment. Payments are processed by the payment-gateway provider Stripe; we do not store your card details. The price valid at the moment of the order is binding for that order.
8. Subscription and automatic renewal (how to cancel)
Both monthly and yearly subscriptions AUTOMATICALLY RENEW. At the end of each paid period the subscription extends for another period of the same length at the then-current price, and at that moment the payment is automatically charged to your stored payment method. This continues until you cancel. The lifetime option does not renew and is not charged repeatedly.
Cancellation is easy and anytime: in your wyckflow.com account or via the Stripe customer portal (accessible from the account), or by e-mail to info@wyckflow.com. Cancellation is at least as easy as signing up. Cancelling stops future renewals; the period already paid runs out and your access lasts until its end. Just cancel anytime before the renewal date.
You may terminate an indefinite-term contract (subscription) at any time, and for a contract with automatic prolongation you may prevent renewal at any time as above. If we fail to cancel/disclose the automatic renewal clearly in advance, you as a consumer have the right to demand cancellation of the prolongation and a refund of the corresponding payment.
9. Delivery of digital content and licence terms
After the contract is concluded we make available the JAR file download (via the account / a download link) and the licence key (WYCK key), which you enter in MotiveWave. The digital content is thereby delivered. Installation instructions are in the guide.
We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the studies for your own use for the duration of a valid subscription (or perpetually for the lifetime option). No ownership or copyright is transferred to you — you receive only a licence within the stated scope.
In particular, you may not: copy the studies (beyond ordinary use), modify them, create derivative works, reverse engineer / decompile / disassemble (outside statutory exceptions), redistribute, sell, rent, lend or sublicense them; share, publish or transfer the licence key or account; circumvent the licensing mechanism or remove notices; or use the studies to build a competing product. Please note the key protection is deliberately lightweight — this does not entitle anyone to share it and is no claim by us of “strong” protection.
When the subscription ends (or is not renewed), access to the paid studies terminates; the free studies CVD and Bid/Ask remain available.
10. Withdrawal from the contract and its lapse
If you are a consumer, under Sec. 1829 of the Civil Code you have the right to withdraw from the contract within 14 days without giving a reason. The period runs from conclusion of the contract (this is digital content not supplied on a tangible medium). You may withdraw by any clear statement — by e-mail to info@wyckflow.com; you may also use the model withdrawal form. We refund the money received within 14 days of receiving your withdrawal, by the same means you used to pay.
Lapse of the withdrawal right (Sec. 1837(l) of the Civil Code): for digital content not supplied on a tangible medium, the withdrawal right lapses if (1) you gave us your express prior consent to the content being made available before the 14-day period ends (by actively ticking a non-pre-ticked box in the order), (2) you were informed that you thereby lose the withdrawal right, and (3) we confirm this to you on a durable medium (by e-mail). By downloading and activating before the period ends on the basis of that consent, you therefore no longer have the withdrawal right.
11. Free trial (14 days)
You can try each study free for 14 days directly in MotiveWave as a full trial, with no credit card and without concluding a paid contract. The trial is a separate way to evaluate — it is not automatically a paid subscription and does not by itself turn into paid access. When it ends, the study moves to a locked state until you enter a valid licence key; the free studies CVD and Bid/Ask are always available.
A paid contract arises only when you order a paid tier or study at checkout and complete payment (Section 6). Only that paid supply is subject to the 14-day withdrawal rules and their lapse under Section 10. We may change the trial terms in the future.
12. Defective-performance rights and complaints for digital content
We are liable to you that the digital content is free of defects at the time of making available and for the stated period — that it conforms to the description and to the agreed and usual characteristics, is functional for the usual and agreed purpose, is supplied with instructions and user support, and that we provide the updates necessary to keep it defect-free (Section 13). This liability cannot be limited or excluded in advance, and no provision of these Terms (including disclaimers and limitation of liability) limits it against you as a consumer.
Liability period: for continuously supplied content (subscription), for the entire duration of the obligation; for one-time delivery (lifetime), 2 years from making available. Presumption of defect: if a defect manifests within 1 year of making available, the content is presumed to have been defective when made available.
Remedies (hierarchy): you primarily have the right to removal of the defect / bringing into conformity within a reasonable time and without significant inconvenience. You may seek a reasonable discount or withdrawal if we fail to remove the defect or refuse to, if it recurs, if it is a material breach, or if it is clear we will not remedy it in a reasonable time. You cannot withdraw for an insignificant defect.
How to complain: submit a complaint by e-mail to info@wyckflow.com describing the defect and your order details. We will confirm receipt; we will handle the complaint without undue delay, within the statutory period at the latest, and issue you a confirmation of its handling.
13. Updates, maintaining functionality, support and changes
For as long as we are liable for conformity (for the duration of the subscription, or 2 years for the lifetime option), we provide you with updates necessary to maintain conformity and user support to the extent stated with the offering. We make updates available; we recommend installing them — failing to install an update we notified you of and provided instructions for may limit our liability for resulting defects.
We reserve the right to develop, fix, change or discontinue individual features. Because WyckFlow runs inside the MotiveWave platform, a platform update may temporarily affect compatibility; we aim to release a compatible version within a reasonable time. On termination of paid access Section 9 applies (free studies remain).
14. Risk disclosure — no advice, no profit guarantee
WyckFlow is a technical analytical and visualization tool intended solely for informational and educational purposes. It is not investment, financial, trading, tax or legal advice, nor a personal recommendation or a solicitation to buy or sell any instrument.
We are not a licensed securities dealer, investment adviser, broker or other regulated financial institution, and purchasing WyckFlow creates no advisory or similar relationship. The tools do not trade for you and do not manage your funds.
Trading futures, options, derivatives and leveraged products is high-risk, is not suitable for everyone, and you may lose part or all of your invested capital. Trade only with money you can afford to lose. Consider your objectives, experience and risk appetite, and seek independent licensed advice if needed.
No guarantee of results. We do not guarantee accuracy, completeness, profitability or any specific outcome. Past or hypothetical performance is not a guarantee of future results. Where any examples, historical or simulated/backtested results are shown (on the site, in documentation, in screenshots), they are illustrative and have inherent limitations: they were not actually executed, are designed with the benefit of hindsight, and may not account for market factors such as liquidity; we do not represent that any account will achieve similar profits or losses.
All trading decisions are made by you and at your own risk; verify data and outputs independently. This disclaimer does not limit your statutory consumer rights for defects, your right of withdrawal, or our liability for damage caused intentionally or by gross negligence.
15. Third parties, data quality and availability (“as is”)
WyckFlow depends on third parties we do not control: the MotiveWave desktop platform, market-data providers and the broker. Market data (including market depth and tick data) may be delayed, incomplete, inaccurate or unavailable; some types of historical data may be unavailable or provided by the platform only in a coarser form, and historical market-depth data generally does not exist. We are not responsible for the accuracy, timeliness or availability of third-party data and behaviour, nor for their downtime.
To the extent permitted by law, the software and its outputs are provided “as is” and “as available”, without warranties beyond mandatory provisions (especially towards business users). Verify calculations on an ongoing basis. This does not affect your consumer rights for defects under Section 12.
16. Limitation of liability
To the extent permitted by law, we are not liable for indirect, consequential, special or punitive damages, nor for lost profits, trading losses or loss of data arising in connection with the use of, or inability to use, WyckFlow. Our aggregate liability is capped at the amount you paid us for the relevant period (for a subscription, the last 12 months or the last paid period; for the lifetime option, that one-time payment).
These limitations do not apply, and nothing in these Terms limits liability, where the law prohibits it — in particular for damage caused intentionally or by gross negligence, for harm to health or life, or for mandatory consumer rights (including defect rights under Section 12 and the right of withdrawal under Section 10). Against a consumer, the limitations apply only within the bounds of mandatory rules.
17. Acceptable use and indemnification
Use WyckFlow only in accordance with the law and with the rules of the platform, data provider, exchange and broker. You must not disrupt or overload our services, allow an unauthorised person to use the licence key or account, or exceed the purchased licence scope (typically one user).
If you are a business user, you agree to indemnify us against third-party claims arising from your misuse of WyckFlow, breach of these Terms, or violation of law or third-party rights. Against a consumer, only general statutory liability for damage applies.
18. Intellectual property
All intellectual-property rights in the studies, code, the WyckFlow name and brand, logos and documentation belong to the seller or to entitled persons. You receive only a licence within the scope of Section 9; trademarks and copyrights remain reserved. If you provide feedback or suggestions, we may use them free of charge to develop the product.
MotiveWave™ is a trademark of MotiveWave Software. WyckFlow is an independent third-party product; it is not affiliated with, authorized or endorsed by MotiveWave Software. We use the name “MotiveWave” solely descriptively to identify the platform the studies are built for. WyckFlow is a charting/analytics tool and does not provide trading signals or investment advice.
19. Termination
The contract ends on expiry/cancellation of the subscription, by agreement, by statutory withdrawal, or on a material breach of these Terms (e.g. key sharing, circumventing licensing). On termination your licence ends — you stop using the studies, uninstall them and stop using the key. Provisions that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) remain in force after termination.
20. Out-of-court dispute resolution and supervision
The body competent for out-of-court resolution of consumer disputes from this contract is the Czech Trade Inspection Authority (Česká obchodní inspekce), Central Inspectorate – ADR Department, Gorazdova 1969/24, 120 00 Prague 2, e-mail adr@coi.gov.cz, web adr.coi.gov.cz. You may turn to it if a dispute cannot be resolved directly with us.
The EU online dispute resolution (ODR) platform was discontinued on 20 July 2025; for cross-border disputes you may contact the European Consumer Centre Czech Republic (evropskyspotrebitel.cz). Consumer-protection supervision is carried out by the Czech Trade Inspection Authority and the competent trade-licensing office.
21. Personal-data protection
We process your personal data in accordance with the GDPR. Which data we process, for what reasons, to whom we pass it (including Stripe for payments, an e-mail service provider for delivering messages, a hosting provider and — with your consent — Meta for marketing measurement) and what rights you have are described in the privacy policy.
22. Governing law, changes and effect
The contract and the relationships arising from it are governed by the law of the Czech Republic, in particular the Civil Code (Act No. 89/2012 Coll.) and the Consumer Protection Act (Act No. 634/1992 Coll.). If you are a consumer from another EU State, you do not thereby lose the protection afforded by the mandatory rules of your country of habitual residence (Rome I Regulation).
If any provision is invalid or ineffective, the rest of the Terms is unaffected. These Terms, together with the order/checkout text and the privacy policy, form the entire agreement; we may amend the Terms and will notify you of material changes (e.g. by e-mail or in the account), while for contracts already concluded the version effective at conclusion applies.
